Terms of Service & End-User License Agreement

1. The service

Ledgend is software for accounting firms that connects to clients' accounting systems (currently QuickBooks Online), analyzes the books, and tracks reconciliation and review workflows. It is a tool for professionals — it does not provide accounting, tax, or legal advice, and findings are inputs to the firm's professional judgment, not a substitute for it.

2. Accounts and authority

You must be authorized to act for your firm, and the firm must be authorized to access each client ledger it connects. You are responsible for your users' actions and for keeping credentials confidential.

3. License

We grant the firm a non-exclusive, non-transferable right to use Ledgend during a paid subscription or trial, for the firm's internal business of serving its clients. No reverse engineering, resale, or use on behalf of firms that are not the subscriber.

4. Fees

Pricing is per connected client file per month, billed through Stripe. Trials convert only when you subscribe. If payment fails, we may suspend syncing and new connections after notice; existing data remains readable for a reasonable period.

5. Data

The firm owns its data and its clients' data. We process it only to provide the service, as described in our Privacy Policy. When Ledgend writes changes back to a connected ledger, it does so only after explicit review and approval by an authorized firm user, and such changes are the firm's responsibility.

6. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Support: support@theledgend.com.

7. Disclaimers and liability

The service is provided "as is." To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by the firm in the twelve months preceding the claim, and we are not liable for indirect or consequential damages, or for decisions made in reliance on findings.

8. Termination

Either party may terminate at any time; on termination we delete firm data per the Privacy Policy. Sections that by nature survive (fees owed, liability limits) survive.

9. Miscellaneous

These terms are governed by the laws of the State of Florida, USA. We may update these terms with notice; continued use after the effective date is acceptance.
